Anti-Corruption & Anti-Bribery Policy

1. Purpose

Gunav Technologies is committed to conducting business ethically, transparently, and in full compliance with all applicable anti-corruption and anti-bribery laws. This policy establishes clear standards to prevent bribery, corruption, and unethical practices in all business dealings.

2. Scope

This policy applies to all employees, directors, officers, trainees, consultants, contractors, vendors, agents, and any third parties acting on behalf of Gunav Technologies, regardless of location.

3. Definitions

Bribery: Offering, giving, receiving, or soliciting anything of value to improperly influence a business decision or action.

Corruption: Abuse of entrusted power for private gain.

Anything of Value: Includes cash, gifts, entertainment, travel, favors, employment opportunities, discounts, or any other benefit.

4. Policy Statement

Gunav Technologies strictly prohibits all forms of bribery and corruption. No employee or representative may offer, promise, authorize, request, or accept bribes or improper payments, directly or indirectly, to or from any person or entity.

5. Prohibited Conduct

The following actions are strictly prohibited:

  • Offering or accepting bribes, kickbacks, facilitation payments, or improper advantages.

  • Providing gifts, hospitality, or entertainment intended to influence business decisions.

  • Making payments through third parties to conceal improper conduct.

  • Falsifying records or disguising payments.

  • Retaliating against individuals who report concerns in good faith.

6. Gifts, Hospitality, and Entertainment
  • Modest, infrequent, and reasonable gifts or hospitality may be permitted if lawful, transparent, and not intended to influence decisions.

  • Cash or cash equivalents (e.g., gift cards) are not permitted.

  • All gifts and hospitality must be accurately recorded and, where required, pre-approved by management.

7. Third Parties and Due Diligence
  • Appropriate due diligence must be conducted on third parties before engagement.

  • Contracts with third parties should include anti-corruption clauses.

  • Payments must be reasonable, documented, and made through approved channels.

8. Accurate Books and Records

All financial transactions must be accurately recorded in accordance with company policies and applicable accounting standards. Off-the-books accounts or misleading entries are prohibited.

9. Reporting and Whistleblowing

Employees and stakeholders are encouraged to report suspected violations promptly to management or the designated compliance contact.

  • Reports may be made without fear of retaliation.

  • All reports will be handled confidentially to the extent possible.

10. Training and Awareness

Gunav Technologies will provide periodic training and communication to ensure awareness and understanding of this policy.

11. Violations and Disciplinary Action

Violations of this policy may result in disciplinary action, up to and including termination of employment or contracts, and may lead to legal action.

12. Compliance with Laws

This policy aligns with applicable anti-corruption laws, including but not limited to the Prevention of Corruption Act (India) and other relevant international regulations where applicable.
